About This Role

Provide comprehensive legal counsel on a wide array of securities and corporate law issues, supporting Board functions, corporate finance transactions, and compliance with public company reporting and governance matters.

Responsibilities

  • Assist in the development of various corporate policies and programs, including Board committee charters, Corporate Governance Guidelines and insider trading and Regulation FD compliance
  • Provide drafting and other support with respect to Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, proxy statements, registration statements, earnings releases and other investor communications
  • Provide legal support to the Board of Directors and its committees, including developing meeting agendas and preparing minutes and other materials for meetings
  • Provide legal support on debt and equity financings and other corporate finance transactions
  • Provide legal support with respect to equity-based compensation plans, executive compensation matters, and Section 16 compliance
  • Monitor and maintain awareness of pending securities law and corporate governance regulations and developments
  • Comply with all applicable laws/regulations, as well as company policies/procedures

Requirements

  • Juris Doctorate degree from an A.B.A. accredited law school
  • Appropriate admission to required state bar
  • 6+ years' experience as a practicing attorney
  • Primary emphasis on public company reporting and governance matters and capital markets transactions
  • Excellent interpersonal and relationship-building skills
  • Strong written and verbal communication skills
  • Ability to understand and resolve complex legal issues and respond quickly to clients and third parties
  • Excellent organizational and time management skills
  • Strong initiative and ability to prioritize multiple assignments and meet deadlines
  • Strong research and analytical skills

Qualifications

  • Juris Doctorate degree from an A.B.A. accredited law school
  • Six (6) years’ experience and demonstrated competence as a practicing attorney in a law firm or in-house setting with primary emphasis on public company reporting and governance matters and capital markets transactions
