About This Role

As the Senior Vice President, Director of Transaction Management, you will oversee all trade contracts including MLPAs, Bailee Agreements, non-disclosure agreements, and purchase and sale agreements. You will lead the Transaction Management team responsible for processing loan sales to third-party investors and negotiate capital market transactions.

Responsibilities

  • Lead contract negotiations for all capital market transactions, acting as liaison between investors and internal stakeholders.
  • Work closely with the Trading Desk to address issues with mortgage loan allocations and trades, ensuring prompt resolution and timely settlements.
  • Manage primary relationship with investors and establish timelines for due diligence review and settlement deliverables.
  • Manage a team of Transaction Managers, including hiring, coaching, performance management, training, and development.
  • Negotiate non-disclosure agreements, trade confirmations, purchase confirmations, and purchase and sale agreements for whole loan and mortgage servicing rights sales.
  • Coordinate execution of bailee letters and shipment of collateral files to custodians, ensuring necessary releases are obtained.
  • Monitor due diligence process to ensure timely follow-up for resolution of data and collateral defects.
  • Review and approve final funding population with investors and facilitate the settlement process.
  • Coordinate and monitor the servicing transfer process between investors and the servicing department.
  • Prepare/review monthly management reports.

Requirements

  • 10+ years of experience in Capital Markets Transaction Management or similar field
  • Bachelor's degree in related field
  • Previous leadership experience
  • Advanced to expert knowledge of residential mortgage industry in Correspondent or Retail Lending
  • Advanced to expert knowledge of applicable regulatory and legal compliance obligations, rules and regulations, industry standards and practices
  • Advanced to expert residential mortgage industry experience in Capital Markets transaction management, contract finance and due diligence
  • Intermediate to advanced experience with SQL
  • Intermediate to advanced experience with MS Excel with ability to create ad hoc reports and analyses using functions such as nested formulas, lookups, pivot tables
  • Expert speaking and writing communication skills

Qualifications

  • Bachelor's degree in related field required; Masters or MBA in related field preferred.
  • 10+ years of related experience in Capital Markets Transaction Management or similar field.
