The Senior Commercial Counsel (Channel) will focus on strategic partnerships, channel programs, and agreements, especially with telecommunications service providers and carriers. This role supports Zoom's shift to a channel-first strategy by driving strategic deals and advising Channel and Partner teams.
Responsibilities
- Review, draft, and negotiate various commercial agreements including master partner, SaaS channel, referral, alliance, data processing addenda, and professional services agreements.
- Support and negotiate strategic partnerships with telecommunications service providers, carriers, and managed service providers (MSPs).
- Review and assist in maintaining Zoom’s partner program terms for clarity, scalability, and enforceability.
- Provide practical guidance to business teams on interpreting and applying program terms, including dispute resolution.
- Work cross-functionally to draft terms for new products and services for channel adoption.
- Create and maintain playbooks, templates, and contract workflows to drive efficiency across the partner ecosystem.
Requirements
- 12+ years commercial transactions experience
- Experience advising on or negotiating agreements with telecommunications service providers and carriers
- Experience with partner program terms, policies, and guides
- Familiarity with channel and partner agreements (reseller, distributor, referral)
- JD from an accredited law school and active membership in at least one US state bar
- Experience supporting SaaS or cloud organizations
Qualifications
- JD from an accredited law school and active membership in at least one US state bar.
- 12+ years commercial transactions experience (combination of law firm and in-house).
Nice to Have
- Prior in-house experience at a SaaS, technology, or communications company
- Experience supporting partnerships with global or regional telecommunications carriers or service providers
- Familiarity with carrier-specific commercial, regulatory, and operational considerations
- Knowledge of privacy, antitrust, competition law, and channel compliance considerations
- Experience with artificial intelligence concepts, contract provisions, and counseling
