Chief Executive Officer

About This Role

Ingenia AI is seeking a Chief Executive Officer with strong investment banking, M&A, and capital markets expertise to lead its next phase of growth. The CEO will drive capital formation, lead M&A/portfolio transactions, and professionalize governance for this AI-first venture studio.

Responsibilities

• Lead all equity and structured financing rounds with various investor types
• Own relationships with investment banks, placement agents, private equity firms, and strategic acquirers
• Develop a long-term capital strategy balancing dilution, leverage, and optionality
• Prepare Ingenia for potential IPO, reverse merger, de-SPAC, or platform-level sale
• Originate, evaluate, and execute majority-stake acquisitions of challenged technology companies
• Oversee portfolio-level capital allocation decisions
• Structure transactions to maximize IRR, downside protection, and retained upside
• Institutionalize Ingenia’s AI-first acquisition playbook for repeatability and speed
• Serve as the primary external face of Ingenia AI with investors, acquirers, regulators, and strategic partners
• Implement public-company-grade governance, reporting, and controls

Requirements

• 15+ years in investment banking, private equity, growth equity, or structured finance
• Proven track record leading M&A transactions ($20M–$500M+)
• Proven track record leading capital raises across multiple stages
• Proven track record leading liquidity events (strategic sale, IPO, secondary transactions)
• Deep experience with technology, software, fintech, or data-driven businesses
• Strong understanding of portfolio economics

Qualifications

• 15+ years in investment banking, private equity, growth equity, or structured finance, with a proven track record leading M&A transactions ($20M–$500M+), capital raises, and liquidity events.

Nice to Have

• Experience operating as a CEO, CFO, or Managing Partner post-banking
• Familiarity with platform or roll-up models (PE-backed, holding company, or venture studio)
• Comfort navigating complex equity structures, JVs, and cross-border teams
• Ability to evaluate AI businesses at a commercial and financial level
