About This Role

This role supports the Commercial Transactions team by acting as the subject matter expert on vendor transactions and procurement activities, negotiating vendor contracts and analyzing associated risks. The position also involves assisting with customer commercial transactions and improving procurement lifecycle processes.

Responsibilities

  • Act as the principal legal support for vendor contracts by reviewing and negotiating them
  • Communicate deadlines and requirements, and partner with procurement, risk management, security, IT and privacy teams on contract-related issues
  • Manage the legal queue of contracts for review and stakeholder/vendor communications with the procurement team
  • Engage with other legal team members on contract review and with vendor counsel in negotiations for various transaction types
  • Suggest, work on, and lead improvements in legal processes, collaborating with the procurement team on procure-to-contract tools
  • Manage the legal contract process in a CLM tool and update/create standard forms, potentially utilizing genAI tools
  • Quickly review or prepare a variety of agreements, supporting customer agreements as time permits
  • Provide focused, value-adding comments on key issues by negotiating or generating a challenging volume and variety of contracts
  • Assist in the administration of the internal approval workflow system, prioritize contracts, and triage questions
  • Support the Legal and Legal Operations teams with projects including customer commercial deals, contracting efficiencies, and process improvements

Requirements

  • Legal degree (licensed attorney-at-law or admitted solicitor)
  • Strong organizational skills and attention to detail
  • Intelligence, flexibility, creativity, diligence, responsiveness, and excellent communications skills
  • Reasonable exposure to computer and software technology concepts
  • Solid proficiency with MS Office, and Salesforce
  • Experience negotiating a variety of commercial contracts including SaaS, consulting, professional services, sponsorship, general services, on-prem software, equipment, supply, statements of work, and purchase orders
  • Experience working with procurement, internal stakeholders, and business teams
  • Experience negotiating contractual legal terms and identifying/assessing contractual risks and impacts

Qualifications

  • Legal degree (licensed attorney-at-law or admitted solicitor) with good grades from a good school
  • Three or more years of high-quality relevant experience as part of a legal team

Nice to Have

  • Background in information technology or procuring information technology
  • Experience working as a litigator or part of a litigation team
  • Experience working with contract management systems
