Associate Counsel, Commercial Transactions

About This Role

This role will support the Commercial Transactions team, serving as a subject matter expert on vendor transactions and procurement activities, negotiating vendor contracts, and analyzing risks. Additionally, it will support customer commercial transactions and assist with legal process improvements.

Responsibilities

• Act as the principal legal support for vendor contracts by reviewing and negotiating vendor contracts
• Communicate deadlines, requirements, and partner to address contract-related issues with procurement, risk management, security, IT and privacy teams
• Manage legal queue of contracts for review and stakeholder communications with the procurement team
• Engage with other legal team members and vendor counsel in negotiations for various transactions
• Suggest, work on, and lead improvements in legal processes, including collaborating on procure-to-contract tools and CLM tools
• Quickly review or prepare a variety of agreements, provide support for customer agreements, and offer value-adding comments on key issues
• Assist in the administration of the internal approval workflow system, prioritize contracts, and triage questions
• Support the Legal and Legal Operations teams with projects, including collaborating on customer commercial deals and updating forms

Requirements

• Legal degree (licensed attorney-at-law or admitted solicitor) with good grades from a good school
• Strong organizational skills and attention to detail
• Intelligence, flexibility, creativity, diligence, responsiveness, and excellent communications skills
• Reasonable exposure to computer and software technology concepts
• Solid proficiency with MS Office, and Salesforce
• Negotiating a variety of commercial contracts, including SaaS, consulting, professional services, sponsorship, general services, on-prem software, equipment, supply, SOW, and purchase orders
• Working with procurement, internal stakeholders, and business teams, negotiating contractual legal terms, and identifying and assessing contractual risks and impacts

Qualifications

• Legal degree (licensed attorney-at-law or admitted solicitor) with good grades
• 3+ years of high-quality relevant experience as part of a legal team; experience negotiating a variety of commercial contracts, working with procurement, and assessing contractual risks

Nice to Have

• Background in information technology or procuring information technology
• Experience working as a litigator or part of a litigation team
• Experience working with contract management systems
