About This Role

This role is for an Associate Counsel focused on commercial transactions, specifically supporting vendor agreements and procurement activities. The position involves negotiating vendor contracts, analyzing risks, and contributing to process improvements.

Responsibilities

  • Act as the principal legal support for vendor contracts by reviewing and negotiating agreements
  • Communicate deadlines, requirements, and address contract-related issues with procurement, risk management, security, IT, and privacy teams
  • Manage the legal queue of contracts for review and stakeholder/vendor communications with the procurement team
  • Engage with other legal team members and vendor counsel in negotiations
  • Suggest, work on, and lead improvements in processes, including collaboration on procure-to-contract and CLM tools, and creation of standard forms
  • Provide support for customer agreements and offer value-adding comments on key issues
  • Respond to/negotiate or generate a challenging volume and variety of contracts, from straightforward to complex
  • Assist in the administration of the internal approval workflow system, prioritize contracts, and triage questions
  • Support the Legal and Legal Operations teams with projects as needed, including customer commercial deals and process improvements

Requirements

  • Legal degree (licensed attorney-at-law or admitted solicitor)
  • Strong organizational skills and attention to detail
  • Intelligence, flexibility, creativity, diligence, responsiveness, and excellent communications skills
  • Reasonable exposure to computer and software technology concepts
  • Solid proficiency with MS Office and Salesforce
  • Experience negotiating a variety of commercial contracts, including SaaS agreements
  • Experience working with procurement, internal stakeholders, and business teams, negotiating contractual legal terms, and identifying and assessing contractual risks and impacts

Qualifications

  • Legal degree (licensed attorney-at-law or admitted solicitor) with good grades from a good school
  • Three or more years of high-quality relevant experience as part of a legal team

Nice to Have

  • Background in information technology or procuring information technology
  • Experience working as a litigator or part of a litigation team
  • Experience working with contract management systems
