Assistant General Counsel – Commercial Lending

About This Role

Provide legal advice and guidance on a wide variety of legal issues within the Commercial Lending sector, partnering with business units and senior leaders. This role involves advising on banking laws and regulations, monitoring legislative developments, and managing legal risks.

Responsibilities

• Partner with business units and senior leaders to provide practical legal advice on complex business and banking matters
• Provide strategic, pragmatic, and trusted legal advice to business units
• Advise management on the interpretation of laws and regulations and changes affecting the Bank
• Monitor and stay up to date on emerging legislative developments
• Participate in line of business-initiated projects, drafting policies and procedures
• Provide seasoned assessment of legal risk for business decisions
• Serve as advanced legal counsel on a wide range of complex legal issues
• Develop relationships based on trust across the organization
• Potentially work with outside counsel on legal issues
• May lead and manage other Assistant General Counsel, specialists, and/or paralegal staff
• May assist with training bankers, associates, operational staff, and customer support staff on legal issues

Requirements

• Law Degree
• Licensed to practice law in at least one jurisdiction
• 8+ years of legal experience in a regulatory agency, financial services industry, or law firm with strong bank regulations knowledge
• Broad-based lending experience (commercial real estate, small business, private wealth, syndicated credit, asset-based, equipment financing)
• Strong drafting skills for loan documents and related credit materials
• Ability to issue practical, business-focused legal guidance in a fast-paced environment
• Demonstrated ability to identify legal risks and propose solutions

Qualifications

• Law Degree
• Eight (8) years of legal experience at a regulatory agency, in the financial services industry, or at a law firm with strong knowledge of bank regulations or other relevant practical legal experience
