The Senior Paralegal - Corporate performs substantive case, matter, or entity-related duties under attorney supervision, preparing and filing legal documents, and coordinating with various parties in transactional work. This role involves drafting legal documents, managing corporate filings, and assisting with due diligence for a law firm.
Responsibilities
- Organize, prepare, and file corporate legal documents for transactions (Articles of Incorporation/Organization, Amendments, state qualifications, consents, merger documents, closing books, electronic closing sets, initial drafts or certificates, short-firm closing deliverables, and filing annual reports).
- Assist with formation of entities such as Corporations, LLCs, 501(3)(c).
- Prepare documents for transactions such as closing statements.
- Prepare UCC searches and filings.
- Organize documents and closing books in connection with corporate transactions such as acquisitions and mergers.
- Prepare and file annual reports in states where corporations are incorporated and/or qualified to do business.
- Assist with basic private company transfer agent functions including stock issuance, stock transfers, stock option grants and maintenance of stock option plan records in corporate maintenance software.
- Assist with due diligence.
- Prepare closing volumes, including index, document assembly, binding and final distribution.
- Prepare draft documentation for filings with Secretary of State, Department of Corporations and other state or federal governmental agencies.
- Develop, monitor and update closing checklists.
- Perform Blue Sky research and filings.
- Prepare and maintain capitalizations tables as well as stock and options ledgers.
- Maintain minute books (hard copy and electronic).
- Prepare drafts, and files S-8 Registration Statements and Section 16 filings.
- Manage data rooms and matter files.
Requirements
- Bachelor's degree or Paralegal certificate
- 6 years of paralegal experience in Corporate Law
- Strong skills in Word, Excel and Outlook
- Excellent verbal, written and interpersonal skills
- Strong organizational skills and attention to detail
- Solid technical skills to set-up, track and maintain matters
- Ability to identify interrelationships among cases, statutes, regulations and other legal authorities
- Complete understanding of the interdependence of the Firm’s practice groups
- Basic understanding of relevant sections of Securities Act of 1933, the Securities Exchange Act of 1934, the California Corporations Code and the Delaware Corporations Code
- Ability to draft bylaws and prepare stock certificates and assist with preliminary Blue Sky research and prepare initial draft of Blue Sky Memorandum
Qualifications
- Bachelor's degree and/or Paralegal certificate.
- 6 years of paralegal experience in Corporate Law.
