Serve as an In-House Corporate Counsel responsible for corporate legal matters, including corporate secretary duties, board work, and transactional activities. This role involves advising on a wide range of legal issues to protect company interests.
Responsibilities
- Conduct corporate secretary and board work
- Prepare corporate resolutions
- Work on corporate transactions and related duties
- Provide legal advice on corporate policies, compliance, intellectual property, labor and employment, and contract negotiation
- Draft, review, and negotiate contracts and agreements with vendors, customers, and business partners
- Ensure company adherence to local, state, and federal laws and regulations, developing compliance programs
- Manage company litigation, coordinating with external legal counsel and developing legal strategies
- Identify potential legal risks associated with business decisions and transactions, and conduct risk assessments
- Assist in maintaining proper corporate governance practices and advising on board matters
- Work with departments like finance and human resources to provide legal insights
Requirements
- Juris Doctorate (JD) degree
- 5+ years of corporate law and M&A transactional experience
- Licensed to practice law in any state
- Strong knowledge of corporate law and legal guidelines
- Stellar analytical skills
- Outstanding written and verbal communication skills
- Ability to work effectively with business teams
- Ability to work independently as well as part of a team
- Ability to manage multiple priorities in a fast-paced environment
Qualifications
- A Juris Doctorate (JD) degree is required
- 5+ years of corporate law and M&A transactional experience, preferably with an Am Law 200 or boutique law firm and/or in-house legal department
