Associate General Counsel

About This Role

This role is for an Associate General Counsel to support the growth of a leading distributed energy platform focused on clean energy infrastructure across the U.S. This strategic, business-minded attorney will join the executive team, reporting to the CEO, and be a key business partner on project and corporate transactions.

Responsibilities

• Lead negotiations on project and corporate agreements, including PPAs, vendor, supply, and offtake contracts
• Structure and close tax equity, debt, and project finance transactions
• Manage M&A, joint venture, and strategic partnership documentation and due diligence
• Provide guidance on corporate governance, entity formation, and internal compliance
• Advise leadership on legal risk, regulatory developments, and commercial strategy

Requirements

• J.D.
• Active bar membership in good standing
• 8-10+ years of experience in corporate transactions, project finance, or tax equity
• Strong commercial acumen and ability to balance legal risk with business objectives
• Prior experience managing outside counsel and supporting multi-disciplinary deal teams

• 8-10+ years of experience in corporate transactions, project finance, or tax equity, ideally within the renewable energy sector.
