The Associate Corporate Attorney supports senior attorneys and internal business clients, providing legal advice, drafting complex contracts, ensuring regulatory compliance, and contributing to risk mitigation strategies within the indirect lending, direct lending, financial services, privacy, and FinTech sectors.
Responsibilities
- Draft, review, and negotiate a wide variety of commercial contracts, including licensing agreements, service agreements, and NDAs, independently or under senior attorneys' direction.
- Provide legal advice on regulatory, compliance, privacy, and business issues affecting financial services, licensed lender, and SaaS operations.
- Conduct legal research and analysis of relevant statutes, regulations, and case law.
- Support litigation matters, including strategy, calendaring, discovery, briefings, and outside counsel involvement.
- Update internal policies, procedures, and manuals.
- Monitor and interpret changes in regulatory frameworks and industry best practices.
- Maintain organized legal files, and report on and track key deadlines.
Requirements
- Admission to the California Bar (or Registration under Rule 9.46, Registered In-House Counsel)
- Experience with financial services, licensed lender, or FinTech legal issues OR SaaS/technology company legal matters
- Strong drafting, negotiation, and analytical skills
- Excellent communication and stakeholder management capabilities
- Ability to prioritize and manage multiple assignments under tight deadlines
Qualifications
- Juris Doctor (J.D.) from an accredited law school
- Minimum 2-3 years of relevant legal experience in a law firm, in-house legal department, or similar setting; 3+ years of prior non-attorney experience in financial services counts toward minimum.
Nice to Have
- Experience advising on regulatory compliance (e.g., consumer financial protection statutes, data privacy, software licensing)
- Exposure to commercial technology contracts or subscription services
- Prior exposure to litigation support or regulatory investigations
