VP, Tax Counsel - Alternative Investments

About This Role

This role involves providing day-to-day tax advisory coverage for the firm's alternative investment businesses, evaluating transactions for tax risks, and advising on new fund structures and revenue share arrangements.

Responsibilities

• Assist with day-to-day advisory coverage of the asset management business by maintaining expertise in US tax law and understanding the business
• Evaluate transactions by performing due diligence, identifying tax risks, and making recommendations
• Coordinate with external advisors on US and non-US tax matters
• Participate in the negotiation of side letters
• Research and communicate clear and concise tax findings to the Managing Director
• Work on new funds and revenue share arrangements, advising on entity-specific and transactional structures
• Evaluate various tax elections and comment on legal documents (partnership agreements, offering documents, etc.)
• Support asset management tax compliance manager to ensure complete and timely investor reporting
• Draft legal memoranda for technical analysis of tax positions for FIN 48 purposes
• Coordinate with internal and external tax and accounting teams

Requirements

• J.D.
• 3+ years of relevant tax experience
• Project management skills
• Ability to plan, prioritize and manage multiple projects and meet deadlines
• Ability to identify and assess tax risks
• Excellent written and verbal communication skills
• Attention to detail and excellent organizational skills
• Proficiency with online tax research tools (e.g., RIA Checkpoint or BNA)
• Good team player, able work collaboratively and build cross functional relationships
