Transactional Paralegal

About This Role

This role supports healthcare transactions, M&A, corporate governance, employment and contract law, and regulatory research. The successful candidate will work directly with attorneys and clients in a fast-paced environment.

Responsibilities

• Gather due diligence documents for Mergers and Acquisitions (M&A) and corporate structuring
• Maintain databases and data rooms of documents and pertinent information
• Review and draft contracts
• Manage corporate governance, including forming legal entities across various jurisdictions
• Maintain closing checklists
• Research pertinent regulations and draft internal and client-facing memos
• Communicate frequently with clients, opposing counsel, brokers, lenders, and other third-parties
• Monitor board and regulatory websites for updates and manage internal compliance content library
• Respond promptly to internal messages and requests
• Maintain accurate research records and citations

Requirements

• 3+ years of experience in transactional law
• 3+ years of experience drafting and negotiating contracts
• 3+ years of legal research experience
• Experience in commercial real estate
• Strong legal research and writing skills
• Experience with running logistics in transactions
• Familiarity with regulatory frameworks in healthcare
• Highly organized and detail-oriented

Qualifications

• 3+ years of experience in transactional law, drafting and negotiating contracts, and legal research

Nice to Have

• Experience in healthcare
• Familiarity with AI and AI-assisted workflows
• Comfortable in a startup or non-traditional law firm setting
