Advise public and private companies, underwriters, and placement agents on U.S. and cross-border securities offerings, corporate finance transactions, and corporate governance matters.
Responsibilities
- Draft and file registration statements, quarterly/annual reports, board resolutions, and other disclosure documents
- Guide companies through U.S. securities regulations and exchange listing requirements
- Support corporate governance initiatives and ensure compliance with federal securities laws
Requirements
- Admitted to practice law in New York or Miami
- Strong knowledge of U.S. securities law, corporate finance, and corporate governance
- Excellent drafting, analytical, and communication skills
Qualifications
- 1-3 years of relevant experience
